Inspirit Equity Acquires Valiant O&M and Launches Vulcan Government Services

LOS ANGELES, Aug. 27, 2026 — Inspirit Equity today announced the acquisition of Valiant O&M, the operations and maintenance division of Valiant Integrated Defense Services. Upon closing, the business will operate as Vulcan Government Services (“VGS”), an independent provider of facility operations, maintenance, and logistics services to U.S. government agencies.

The transaction represents a highly complex corporate carve-out, requiring the separation and establishment of a mission-critical government services business as an independent company.

VGS provides logistics and facilities services for hospitals, medical facilities, research laboratories, and other critical infrastructure, as well as chemical management and logistics support services. The company supports various U.S. government clients through a diversified portfolio of long-term contracts both domestically and overseas.

“VGS has earned an exceptional reputation for delivering highly specialized services in environments where reliability and operational excellence are critical,” said Charles Gores, Founder and CEO of Inspirit Equity. “Demand for those services continues to grow as agencies invest in the readiness and resilience of critical infrastructure, and we're excited to support the team as they build on that foundation.”

VGS will continue to be led by Chuck Phillips as Chief Executive Officer, who joined Valiant in 2023 and has overseen the O&M business as Vice President and General Manager.

As a standalone company, we can operate with greater focus, agility and strategic flexibility,” said Phillips. “Inspirit's support will allow us to continue investing in our people, expand our capabilities, and deliver the reliable service our customers count on every day.”

Near-term priorities will include adding dedicated business development resources, expanding the company's construction capabilities, and pursuing opportunities across existing and adjacent end markets.

In connection with the transaction, The McLean Group acted as exclusive financial advisor to Valiant O&M, Sidley Austin LLP served as legal counsel to Valiant, and Jones Day served as legal counsel to Inspirit Equity. Financial terms of the transaction were not disclosed.

Founded in 1959 and headquartered in Minneapolis, Minnesota, Carlson has built a strong reputation over more than 65 years for delivering high-quality janitorial services to a blue-chip customer base spanning over 250 locations across 10 states.

Carlson will operate as a dedicated retail-focused division within Sizemore, maintaining its existing leadership team, workforce, and operations. This structure preserves Carlson's strong local execution and customer relationships while leveraging Sizemore's broader platform and resources.
